|  The Friends of Rochambeau Pandemic Times 

 What's New?
Beside  providing drive up and drop off service for books, The Rochambeau Branch and most other branches of PCL have re-opened in  a limited way. 
Check the PCL website for current hours of operation and activities happeninig virtually.     http://www.provcomlib.org.

Unfortunately, Book Sale and Media sale operations have come to a screeching halt and will not resume until the Library is able to function under normal conditions.  We seriously regret that the Book Sale Team is unable to accept donations of books or other media at this time. Our storage areas are over full.  Let us look forward to a new year when this state of affairs has changed for the better.

|  BYLAWS REVISIONS

Even in Pandemic Times, the Friends Board has been working on Bylaws revisions. The Board approved these revisions in May and June. Normally, members of the Friends would have been asked to review and vote to approve at the Annual Meeting\ of the Friends of Rochambeau. 

Please review the revised Bylaws - there is a button at the end of this section for you to Vote to indicate your approval (or not)  of the revised Bylaws.  

FRIENDS OF ROCHAMBEAU BYLAWS   
Revision 6/1/20

Note: underlined items are new additions or substantive changes to the 2014 Bylaws.
ARTICLE I -- NAME

The name of this organization is the FRIENDS OF ROCHAMBEAU BRANCH, INC  known as FRIENDS OF ROCHAMBEAU and the Friends.   

ARTICLE II -- PURPOSE

As a Friends group for the Rochambeau Library, one of the neighborhood libraries within the Providence Community Library (PCL) organization, the purpose of the Friends of Rochambeau shall be to:

   - Support and promote library service in Providence through fund-raising, volunteerism, community outreach, and service as advocates for the Rochambeau Library and for PCL.
   - Stimulate and encourage the use of the Rochambeau Library’s facilities, resources, and services;
   - Provide funds for special materials, equipment and programs that supplement the operating budget of the Rochambeau Library and, at the Friends’ Board’s discretion, emergency funds if needed to support the libraries’ service to the community.  Funds will not be provided for the purposes of ongoing maintenance of facilities or staff salaries.
   - Organize and sponsor programs that enrich the cultural and intellectual life and wellness of the community;
   - Provide input into the strategic planning, programming, and activities of the Rochambeau Library as well as of PCL;
   - Serve as a link between the Rochambeau Library and the neighboring community;
   - Help govern PCL by selecting a representative to serve on the PCL board of trustees and support city-wide Friends’ group activities.
   - Serve as an advocate for PCL on local and state library issues;
   - Encourage gifts, endowments and bequests to the Library.
   - Work in conjunction with PCL and Rochambeau officers and staff to achieve these purposes.

ARTICLE III -- MEMBERSHIP AND DUES

Section 1. Membership in the Friends of Rochambeau shall be open to all people and interested parties;

Section 2. Members shall pay dues annually to remain in good standing. Categories of membership and dues shall be determined by the Board of Directors;

Section 3. Members in good standing may vote at the Annual Meeting and attend all meetings of the Board.

ARTICLE IV -- BOARD OF DIRECTORS 
Section 1. A Board of Directors shall manage the affairs of the Friends of Rochambeau between Annual Meetings and shall direct disbursement of funds.
Section 2. The Board of Directors shall consist of the five officers of the Friends (President, Vice-President, Recording Secretary, Corresponding Secretary, and Treasurer), chairpersons of standing committees, the Friends Representative to the PCL Board, plus members-at-large for a total of no more than 16 persons. The Systems Coordinator at Rochambeau Library or designee shall serve ex-officio. The immediate past president of the Friends of Rochambeau may continue to serve as a board member with voting privileges. 
Section 3. The Friends’ Representative to the PCL Board of Trustees, who represents the interests and concerns of the Friends of Rochambeau, shall be appointed by the President, with the approval of the Board of Directors, and shall serve a term of two years, renewable for up to two additional terms. 
Section 4. Board member absences for more than 2 consecutive meetings without notice may result in dismissal from the Board.

ARTICLE V -- OFFICERS

Section 1. The officers of the Friends of Rochambeau shall be a President, a Vice President, a Recording Secretary, a Corresponding Secretary, and a Treasurer. These Officers comprise the Executive Committee.

Section 2. Term of Office: All Officers shall be elected for one year term. No Officer shall be eligible for election for more than two  three consecutive terms for the same office. These stipulations may be modified as needed by a two-thirds vote of Board members present and voting. 

Section 3. The President shall preside over meetings of the Executive Committee, the Board, and the general membership; shall appoint chair persons of all committees; shall be an ex officio member of all committees except the Nominating Committee; Shall report on the Friends’ activities at the Annual Meeting. The President shall have served on the Board of the Friends prior to becoming President.
Section 4. The Vice President, in the absence of the President, shall preside at meetings and perform the duties of the President. The Vice President shall assist the President and perform any duties delegated by the President. The Vice President shall be chair of the Nominating Committee.
Section 5. The Recording Secretary shall keep and distribute the minutes of the Board and general meetings and, as "clerk," shall sign all reports required by law except as noted in section Article V Sec 7 pertaining to Corporate status and non-profit status and shall assume such other responsibilities as may be delegated to him/her.
Section 6. The Corresponding Secretary shall conduct all correspondence as directed by the President. The Corresponding Secretary shall be chair of the Membership Committee.

Section 7. The Treasurer shall be the custodian of the Friends' funds, collect all dues and administer all funds as directed by the Board of Directors. The Treasurer shall receive all funds of the Friends, keep an accurate record of receipts and expenditures, pay out funds as authorized by the Friends, and prepare and submit any reports required by law. The Treasurer shall present a statement of accounts at every business meeting, the annual meeting, and at other times as requested. The Treasurer is responsible for maintaining  the corporate and non-profit status of the Friends of Rochambeau as required by the RI Secretary of State’s office. The Treasurer may appoint an assistant from among the Board members, as necessary and with Board approval.

Section 7.  All officers shall serve until the expiration of their terms except in cases of resignation, incapacity, or removal from office. 

Section 8.   Removal of an officer or Board member may be undertaken at a meeting with a 2/3 vote of Board members present and voting. 

ARTICLE VI -- COMMITTEES

Section 1. There shall be standing committees necessary to carry on the Friends’ programs and to carry out its purposes; ad hoc committees may be created at the President’s discretion. Chairs of the committees will be appointed by the President, with the approval of the Board of Directors. Chairpersons and members of standing committees are appointed for one year.  All Chairpersons serve on the Board of Directors. Committee members are drawn from the Board or general membership.

Section 2. Standing committees of the Friends of Rochambeau shall include:

   - A Finance Committee, chaired by the Treasurer, which shall prepare a budget annually for review and approval by the Board of Directors at a meeting prior to the Annual Meeting for presentation to the general membership. The fiscal year shall commence on June 1 and end on May 31 of the following year;
   - A Nominating Committee, chaired by the Vice President, which shall select a slate of officers and members-at-large;
   - A Membership Committee, chaired by the Corresponding Secretary, which shall recruit new members and maintain all membership records;
   - Such other committees as considered necessary by the Board of Directors.

ARTICLE VII -- MEETINGS

Section 1. The Annual Meeting shall customarily be held on the first Monday in June of each year. All members shall be notified at least two weeks before the meeting date. The President and Treasurer shall submit year-end reports at the Annual Meeting. The slate of officers and board members, and the proposed annual budget, shall be submitted to the general membership for approval by a majority of those present at the Annual Meeting. 

Section 2. Meetings of the Board of Directors shall be held monthly, except in July and August, and are open to the public. Special meetings may be called by the President to conduct the business of the organization. Executive sessions (when non-board members are excluded from the meeting) may be held at any time when called for by the President and a majority of the Board members. Meetings of the Friends shall be guided by the latest edition of Robert’s Rules of Order. Notice for meetings will be by email, electronic means or by public posting.  At the discretion of the President and with approval of two other members of the Executive committee, meetings may be conducted online or by electronic means for reasons of inclement weather or public emergencies. 

Section 3. A quorum of the Board of Directors shall consist of half of the members plus one. A quorum for the Annual Meeting or other meetings of the general membership shall be 20 members.

Section 4. Agendas shall be provided to board members at least two days in advance for Board meetings and two weeks in advance for Annual Meetings.

ARTICLE VIII -- NOMINATIONS & ELECTIONS

Section 1. The Nominating Committee, chaired by the Vice President, shall consist of four members, at least two of whom shall be from the Board of Directors. At least one member shall have served on the previous year’s Nominating Committee; at least one member shall be a non-Board member.

Section 2. Nominations: Each year, the Nominating Committee shall propose a slate of officers and members at large having obtained their consent. The Nominating Committee shall present this slate at a Board meeting for the approval of the Board in advance of the Annual Meeting.

Section 3. Elections: A written notice of the slate of Board officers and Board members-at-large shall be communicated to the general membership at least two weeks before the Annual Meeting. The slate shall be presented at the Annual Meeting for approval by the membership. All candidates must have accepted their nominations. Election shall be by majority vote of those present and voting.  

Section 4. Vacancies: A Vacancy in an elective position shall be filled for the unexpired term by appointment by the President with the approval of the Board, excepting vacancy in the office of President, whose term will be completed by the Vice President.

ARTICLE IX -- DISSOLUTION OF ORGANIZATION
Section 1. In the event of dissolution, the Board shall distribute all remaining assets to other educational or charitable organizations in the greater Providence area having similar purposes and that are duly authorized by the Division of Business Regulation and the Secretary of State of Rhode Island for such purposes.      
Section 2. Upon dissolution, no distribution of any profits, income, or assets may be made to any member, Board member, or officer of the Friends of Rochambeau.

ARTICLE X -- AMENDMENTS

These bylaws may be amended when necessary by a majority vote at the annual meeting. The amendment(s) must have been approved by a majority vote of the Board of Directors present and voting at a prior meeting of the Board, and a notice must be communicated to the entire membership at least two weeks before the meeting at which the amendment is to be presented.

These by-laws shall be reviewed and approved by the Board at a minimum of every five years.

Announcement:

Ruth Breindel (Board member, and recording secretary for the Friends) will be conducting an elementary Ancient Greek class for interested Friends. This will be a Zoom class online, meeting on Thursday mornings 9-10 AM beginning on September 17th. 
If you have ever wanted to learn Ancient Greek - Now’s your chance!
The alphabet can be a challenge at first, but you already know so many of the letters: alpha:  beta:  gamma:  delta:  pi:  omega:  The textbook is Athenaze, Second Edition, Book 1. It’s available used on the web. Don’t buy the workbook – not necessary! This class is free and is sponsored by the Classical Association of New England. The Board is very grateful to Sharon Hendriksen, Karen Adamec, Gregory Waksmulski,  and Shai Afsai, departing members of the Board. Sharon and Gregory have served in multiple capacities for the Friends. Sharon has been VP, President and Treasurer in addition to being a valued member of the Book Sale Team. Gregory served as VP, President, Friends Council and PPL Board Representative.  Their devotion and dedication to the affairs of the Friends and Rochambeau cannot be overstated.

Additional Board members were elected via Zoom meetings in June, and July. New members are John Dickson, Emily Markovitz, Karen Isenberg, and Ruth Gray Crane.  Thank you for your willingness to serve. Hope to 'see' you in real time soon.
